Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between your organization (“Customer”, “User”) and Signal Forge. By accessing the Platform, submitting a business URL for analysis, creating an account, applying for a job, or purchasing implementation services, you represent that you have the authority to bind your organization to these terms. If you do not agree, you must immediately cease all access.

2. Scope of Services & Products

Signal Forge is an operational intelligence company. We provide the following products and services:

• ForgeOS Platform: A secure, self-managed business operating system platform (Free, Pro, Business, Enterprise) to document procedures, track employee role checklists, and manage company knowledge assets.
• Business Blueprint: A free automated discovery scan that crawls your public business footprint to draft a baseline department structure, role configuration, and initial ForgeScore™ assessment.
• Signal Forge Report: A premium, one-time paid operational due diligence and diagnostic assessment ($1,995) analyzing exit readiness, founder dependence index, operational leak vulnerabilities, and safety compliance gaps.
• Done-For-You Services: Custom operational implementation packages (starting at $10,000) and ongoing monthly Managed ForgeOS Advisory services.

3. Website Scanning & Analysis Authorization

By entering a website URL into our Business Blueprint or Signal Forge Report discovery forms, you represent and warrant that:

• You own, operate, or are an authorized representative of the target business URL submitted.
• You authorize Signal Forge to crawl, scrap, capture, index, and analyze public content, texts, structure, locations, and technologies from the submitted site.
• Signal Forge is not liable for server load, rate limit firewalls, or accessibility interruptions triggered on the target site by our automated scraper tools.

4. Job Applicants & Careers Submission

Users submitting application credentials via our careers page (e.g. `/hiring`) agree that:

• All resume links, LinkedIn URLs, professional backgrounds, and cover letters provided are accurate and truthful.
• Submission of an application does not guarantee employment, an interview, or a response from Signal Forge.
• Signal Forge is authorized to verify professional details and check provided references.

5. Customer Data Ownership & Exit Protocol

Data Ownership: Customer retains exclusive intellectual property rights, ownership, and control over all playbooks, workflows, custom document uploads, and operational inputs ("Customer Data"). Signal Forge claims no ownership over Customer Data.

The Exit Protocol & Data Portability: Customer has the absolute right to export their complete organizational database (playbooks, processes, logs) as a standardized JSON and ZIP package at any time via the Data Ownership Center.

Soft-Delete Grace Period: Upon initiating account deletion, authentication is disabled and a 30-day soft-delete grace period commences. Customer Data is preserved for 30 days to prevent accidental operational loss before permanent purge.

6. Bring Your Own Key (BYOK) & AI Grounding

Generative Studio Tools: The Playbook Studio provides features (such as Copilot Chat, Audio Overview podcasts, Slide Decks, and Flowcharts) grounded in Customer Data.

API Token Quotas: Services are governed by monthly credit quotas based on the Customer's subscription tier.

Custom API Key Integration (BYOK): Customers may input their custom Google Gemini API Key. By integrating a custom key, Customer is solely responsible for compliance with Google Cloud Platform billing and terms.

8. Payment, Subscriptions, & Refund Credits

ForgeOS Subscriptions: Subscriptions (Pro, Business, Enterprise) are billed on a recurring monthly or annual basis. Surcharges for ad-hoc media generation or credit top-ups are billed immediately. All sales are final.

Signal Forge Report Assessment: The $1,995 paid assessment is non-refundable. However, 100% of this fee is credited back to the customer's account towards a qualifying Done-For-You operational implementation package if purchased within twelve (12) months of report generation.

9. Limitation of Liability

IN NO EVENT SHALL SIGNAL FORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF CUSTOMER DATA, OR OPERATIONAL INTERRUPTIONS.

OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO SIGNAL FORGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law & Dispute Resolution

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the **State of Delaware**, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
